Cisco Systems, Inc. ("Cisco") grants to you ("User") a limited, nonexclusive and non- transferable right to use this SIP Trunking Cost Reduction Tool ("Tool") and any reports or other output generated thereby (collectively, "Output"), subject to these Terms and Conditions.
User acknowledges and agrees that the Tool, including without limitation its design, structure, data and formulae, any updates or modifications thereto, and all intellectual property rights in any of the foregoing shall remain vested solely with Cisco, its licensors or suppliers. All licenses not expressly granted herein are reserved to Cisco, its licensors or suppliers.
Accordingly, except as otherwise expressly provided under these Terms and Conditions, User shall have no right, and User specifically agrees not to transfer, assign or sublicense its license rights to any other person or entity; and User acknowledges that any attempted transfer, assignment, sublicense or use shall be void. User specifically agrees not to: (a) make error corrections to or otherwise modify or adapt the Tool or create derivative works based upon the Tool, or permit third parties to do the same; or (b) reverse engineer or decompile, decrypt or disassemble the Tool.
This right to use the Tool is effective until terminated. User may terminate this use at any time by destroying all copies of the Tool in User's custody or control (including any Output). User's rights under this license will terminate immediately from Cisco if User fails to comply with any provision of this license. Cisco may terminate this license at any time upon written notice (including by posting a notice on the website where the Tool is available).
The Tool is designed to provide general guidance in evaluating the sustainability benefits of using selected Cisco products, services and/or solutions. The Tool is not intended to provide business, legal, accounting, tax or professional advice. The Tool is not intended as a substitute for User's own judgment or for that of User's own professional advisors. The Tool may not contain complete, accurate or timely data. (For example, reference tables and other information embedded in the tool may require occasional updating, and may not be up-to-date.) Use of the Tool may not be error-free. While Cisco, its licensors or suppliers have attempted to include useful data, assumptions and formulae in the Tool, Cisco, its licensors or suppliers are not responsible for any results from using or misusing the Tool.
THE TOOL IS PROVIDED "AS IS," WITH NO WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. Any use of the Tool is at User's sole risk.
User shall defend, indemnify and hold Cisco, its licensors, suppliers, employees and contractors (the "Cisco Parties") harmless from all loss, damages, liabilities, settlement, costs and expenses (including legal expenses and the expenses of other professionals) as incurred, arising out of or related to User's use or misuse of the Tool.
IN NO EVENT WILL THE CISCO PARTIES BE LIABLE TO USER OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON THE OUTPUT OF THIS TOOL OR BE LIABLE FOR ANY LOST REVENUE, PROFIT, OR DATA, OR FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES HOWSOEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY ARISING OUT OF THE USE, MISUSE OR INABILITY TO USE THE TOOL, EVEN IF ANY OF THE CISCO PARTIES HAVE BEEN ADVISE OF THE POSSIBILITY OF SUCH DAMAGES.
These Terms and Conditions shall be governed and construed in accordance with the laws of the State of California, without reference to principles of conflicts of laws. The United Nations Convention on the International Sale of Goods shall not apply. If any portion hereof is found to be void or unenforceable, the remaining provisions of these Terms and Conditions shall remain in full force and effect. These Terms and Conditions constitute the entire agreement between the parties with respect to the license of the Tool and supersede any conflicting or additional terms contained in any other documentation.
